Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. (b) On March 8, 2023, David E. Sharbutt notified the Corporate Secretary of American Tower Corporation (the "Company") of his decision to not stand for re-election at the Company's 2023 Annual Meeting of Stockholders (the "Annual Meeting"). Mr. Sharbutt's decision to not stand for re-election did not involve any disagreements with the Company. Mr. Sharbutt is currently a member of the Nominating and Corporate Governance Committee of the Board of Directors (the "Board") of the Company and will continue his service on such committee until the Annual Meeting. Item 8.01 Other Events. On March 9, 2023, the Company issued a press release (the "Press Release") announcing that the Board declared a cash distribution of $1.56 per share on shares of the Company's common stock, payable on April 28, 2023 to the stockholders of record at the close of business on April 14, 2023.
